Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between your organization ("Customer", "you", "your") and Acadyn Labs LLP, a limited liability partnership incorporated under the Limited Liability Partnership Act, 2008, with its registered office in Kanyakumari, Tamil Nadu, India ("we", "us", "our"), the operator of Worxley.
By creating an account, accessing, or using Worxley — including its built-in Worxley AI layer — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the legal authority to bind that organization. If you do not have such authority, or if you do not agree to these Terms, you must not access or use Worxley.
Description of Services
Worxley is a cloud-based, AI-first Customer Operations Platform unifying sales, marketing, service, and automation — covering lead capture, pipeline management, deal tracking, workflow automation, proposal generation, invoicing, and payment tracking. Worxley includes Worxley AI, an AI layer providing lead scoring, predictive insights, and natural language queries over your CRM data.
We reserve the right to modify, discontinue, or add to Worxley at any time. We will provide reasonable advance notice for material changes that affect your use of the service. Your continued use after such notice constitutes acceptance of the updated service.
Worxley is provided as software-as-a-service ("SaaS") and does not include any on-premise installation or custom software development unless explicitly agreed in a separate written agreement.
Accounts & Access
3.1 Account Registration
You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the accuracy of your account information and for all activities that occur under your account.
3.2 Credentials & Security
You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at support@worxley.com if you become aware of any unauthorized access to your account. We are not liable for loss or damage arising from your failure to maintain the security of your credentials.
3.3 User Seats
Your subscription grants access to the number of user seats specified in your plan. Each seat must correspond to a unique individual. Sharing credentials between multiple individuals is not permitted. Additional seats may be added at any time at the applicable rate.
3.4 Administrator Responsibilities
The account administrator is responsible for managing user access, setting appropriate permissions, ensuring that all users comply with these Terms, and for all actions taken by users within their organization's account.
Acceptable Use
You agree to use Worxley only for lawful business purposes and in accordance with these Terms. You must not:
- Use Worxley to process data you do not have the legal right to process, or for purposes not permitted under applicable law
- Attempt to gain unauthorized access to any part of the service, other customer accounts, or our infrastructure
- Upload or transmit malicious code, viruses, or any software designed to disrupt, damage, or gain unauthorized access to systems
- Scrape, crawl, or harvest data from Worxley using automated means not authorized by us
- Use Worxley to send unsolicited commercial communications or engage in any form of spam
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of Worxley
- Sublicense, resell, or make Worxley available to third parties outside your organization without our written consent
- Remove or obscure any copyright, trademark, or proprietary rights notices within the service
- Use Worxley in a way that could cause damage to our reputation or the reputation of our other customers
We reserve the right to investigate and take appropriate action against violations of this policy, including suspension or termination of access without notice.
Subscription & Payment
5.1 Subscription Plans
Worxley is offered on a subscription basis. The applicable plan, pricing, billing frequency (monthly or annual), and included features are as described on our pricing pages or in a separate order form agreed between you and us.
5.2 Payment Terms
Subscription fees are due in advance for each billing period. Payment must be made via the methods supported within Worxley. All amounts are exclusive of applicable taxes (GST, etc.), which will be added to your invoice as required by law.
5.3 Failed Payments & Suspension
If payment is not received within 7 days of the due date, we may suspend access to Worxley after notifying you. Access will be restored upon receipt of full payment. We are not liable for any loss or damage resulting from suspension due to non-payment.
5.4 Refund Policy
Subscription fees paid are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access until the end of the current paid billing period. No partial-period refunds are issued. Annual plans cancelled mid-term are not eligible for pro-rated refunds.
5.5 Price Changes
We may revise subscription pricing with at least 30 days' written notice. Price changes take effect from your next renewal date. Your continued subscription after the effective date constitutes acceptance of the new pricing.
Intellectual Property
6.1 Our IP
Worxley, including all software, interfaces, designs, algorithms, features, and content developed by Acadyn Labs LLP, is and remains the exclusive intellectual property of Acadyn Labs LLP. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to access and use Worxley during your subscription term, solely for your internal business purposes.
6.2 Your IP
All data, content, and information you upload to Worxley ("Customer Data") remains your exclusive property. You grant us a limited, non-exclusive licence to process your Customer Data solely for the purpose of providing the service to you. We acquire no ownership rights in your Customer Data.
6.3 Feedback
If you provide suggestions, ideas, or feedback about Worxley ("Feedback"), you grant us a perpetual, irrevocable, royalty-free licence to use and incorporate such Feedback into our products without any obligation to you. We will never attribute Feedback to you without your explicit consent.
Your Data
You are the Data Fiduciary for all personal data uploaded to Worxley. You represent and warrant that you have obtained all necessary consents and have the legal right to upload, process, and instruct us to process such data.
We process your Customer Data strictly in accordance with your instructions and our Privacy Policy. We implement appropriate technical and organisational security measures as described in our Security Policy.
Upon termination of your subscription, you may export your data within the 90-day post-termination window. After this window, we will delete or anonymise all non-statutory Customer Data. Data subject to statutory retention requirements will be held in a restricted archive until the legally required period expires.
Confidentiality
Each party ("Receiving Party") agrees to hold in strict confidence all Confidential Information received from the other party ("Disclosing Party") and to use such information only for the purpose of performing obligations under these Terms.
"Confidential Information" means any non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential, including technical data, business plans, pricing, customer data, and trade secrets.
These obligations do not apply to information that is or becomes publicly available without breach of these Terms, was independently developed by the Receiving Party, or is required to be disclosed by law or court order (with reasonable prior notice to the Disclosing Party where permitted).
Confidentiality obligations survive termination of these Terms for a period of 3 years, except that obligations with respect to Customer Data and trade secrets survive indefinitely.
Warranties & Disclaimers
We warrant that: (a) Worxley will perform materially as described in our documentation during your subscription term; (b) we will implement appropriate security measures to protect your data; and (c) we will comply with applicable Indian laws in our operation of the service.
Nothing in these Terms limits our liability for fraud, gross negligence, or wilful misconduct, or any liability that cannot be excluded under applicable Indian law.
Limitation of Liability
To the maximum extent permitted by applicable law, our total cumulative liability to you arising out of or related to these Terms — whether in contract, tort, or otherwise — will not exceed the total subscription fees paid by you in the 12 months immediately preceding the claim.
In no event will either party be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.
These limitations reflect a reasonable allocation of risk between the parties and are a fundamental basis of the bargain between you and us. They apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise.
Indemnification
You agree to indemnify, defend, and hold harmless Acadyn Labs LLP, its partners, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of Worxley in violation of these Terms; (b) your Customer Data or your instructions to process it; (c) your violation of any applicable law or the rights of any third party; or (d) any dispute between you and your employees or customers.
Termination
12.1 Termination by You
You may cancel your subscription at any time through the account settings or by written notice to support@worxley.com. Cancellation takes effect at the end of the current billing period. You will retain access until the period ends and will not receive a refund for the unused portion.
12.2 Termination by Us
We may terminate or suspend your access immediately, with written notice, if: (a) you materially breach these Terms and fail to remedy the breach within 14 days of notice; (b) you fail to pay applicable fees; (c) we are required to do so by law; or (d) continued provision of service poses a security risk to Worxley or other customers.
12.3 Effect of Termination
Upon termination, your right to access Worxley ceases. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law survive termination.
Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Any dispute arising from or in connection with these Terms that cannot be resolved through good-faith negotiation within 30 days shall be finally settled by arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, in the English language, with the seat of arbitration in Chennai, Tamil Nadu.
Subject to the arbitration clause above, the courts at Chennai, Tamil Nadu shall have exclusive jurisdiction over any matters not subject to arbitration.
General Provisions
- Entire agreement: These Terms, together with the Privacy Policy and any order form or addendum, constitute the entire agreement between you and us with respect to Worxley and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
- Force majeure: Neither party will be liable for delays or failures in performance caused by circumstances beyond their reasonable control, including natural disasters, government actions, or internet service disruptions.
- Notices: Legal notices to us must be sent to legal@worxley.com and to our registered office address. Notices to you will be sent to the email address on your account.
- Updates to Terms: We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
Third-Party Integrations
Worxley can connect to external services so that work done in the CRM reaches the tools you already use — Google Workspace (Calendar, Gmail, Tasks, Sheets), Zoom, WhatsApp Business, Exotel for telephony, Razorpay and Cashfree for payments, and your own email server over SMTP. Each is optional and only becomes active once you or your organization connects it. What data moves to each provider is set out in Section 12 of our Privacy Policy.
- Your accounts, your agreements: these integrations run on accounts you hold directly with each provider. Your use of them remains subject to that provider's own terms and pricing, in addition to these Terms. We are not a party to those agreements.
- Credentials: you are responsible for keeping the API keys, app passwords, and OAuth connections you supply accurate and authorised, and for disconnecting them when a user leaves your organization.
- Availability: we do not control these services. Outages, rate limits, pricing changes, or a provider withdrawing an API may interrupt or end an integration. Such interruptions are not a failure of Worxley under these Terms.
- Telephony and messaging: where you place calls through Exotel or send messages through WhatsApp Business, you are responsible for obtaining any consent required by applicable law, for honouring do-not-disturb and opt-out obligations, and for the content of what you send.
- Sending email as you: if you configure your own SMTP server or connect Gmail, email is sent from your address and you remain the sender of record for its content and for compliance with anti-spam law.
- Changes: we may add, change, or discontinue an integration where a provider changes its platform or terms. We will give reasonable notice where an integration you actively use is being withdrawn.
